Welcome to iCANS, Inc. (“Company,” “we,” “our,” “us”). These Terms and Conditions (“Terms”) govern your use of our software subscription service (“Service”). By accessing or using our Service, you agree to comply with and be bound by these Terms.

- Subscription: The arrangement where the User pays for access to the Service for a specified period.
3. User Accounts

4. Subscription Terms
Subscription Plans. We offer subscription plans with monthly billing cycles. Details of each plan are available on our website.
Billing. Subscriptions are billed monthly, generally on the anniversary date of your registration. Accepted payment methods include Visa, Mastercard, Discover, and American Express.
Auto-Renewal. Subscriptions automatically renew at the end of each billing cycle unless canceled prior to renewal. If you wish to change your subscription, please notify us by emailing onboarding@icans.ai.
5. Free Trials and Promotions
We may offer free trials or promotions. These are subject to these Terms, and we reserve the right to modify or terminate them at any time.
6. Cancellation and Refunds
Cancellation. Users can cancel their subscription by emailing onboarding@icans.ai. The cancellation request must include the following information:
- Name of the owner
- Company name
- Company address
- Phone number
Cancellations will take effect at the end of the current billing period.
Refunds. Refunds are not provided for partial billing periods or unused features.
7. User Responsibilities
Users agree not to misuse the Service, including but not limited to:
- Violating any laws or regulations
- Infringing on intellectual property rights
- Distributing harmful or malicious content
Competing Platforms. Any User found to be actively using or subscribed to a competing platform while maintaining an active iCANS subscription will have their subscription terminated immediately. iCANS, Inc. reserves the sole right to determine what constitutes a competing platform.
8. Intellectual Property
All content, trademarks, and data on the Service are the property of iCANS, Inc. or its licensors. Users are granted a limited license to use the Service as intended.
9. Limitation of Liability
To the fullest extent permitted by law, iCANS, Inc. shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Service.
10. Indemnification
You agree to indemnify, defend, and hold harmless iCANS, Inc., its affiliates, directors, officers, employees, agents, and service providers from and against any and all claims, liabilities, damages, losses, penalties, fines, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- (a) your use or misuse of the Service;
- (b) your violation of these Terms or applicable laws or regulations;
- (c) your infringement of any intellectual property or other rights of any third party; and
- (d) any fees, charges, convenience fees, service fees, processing fees, or surcharges imposed by you on your customers in connection with payments processed through or facilitated by the Service, including but not limited to claims alleging excessive fees, improper disclosure, violation of payment network rules (including Visa, Mastercard, American Express, or Discover), or violation of any federal, state, or local consumer protection, unfair trade practice, or pricing laws.
For the avoidance of doubt, iCANS, Inc. does not set, control, approve, audit, or endorse any fees or surcharges imposed by Users, and all responsibility and liability for such fees rests solely with the User.
11. Termination
We reserve the right to suspend or terminate your access to the Service for violations of these Terms or other conduct deemed harmful to the Service or other users.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, exclusive of its rules governing choice of law and conflict of laws. The United Nations Convention on Contracts for the International Sale of Goods will not apply. All disputes arising out of or relating to these Terms or the Service will be litigated exclusively in the state or federal courts located in the State of Delaware, and you and iCANS, Inc. consent to personal jurisdiction and exclusive venue in such courts.
13. Changes to Terms
We may update these Terms from time to time. We will notify users of significant changes, and continued use of the Service constitutes acceptance of the new Terms.

All content, trademarks, logos, graphics, designs, and other intellectual property displayed on the website are owned by or licensed to iCANS, Inc., unless otherwise stated. You may not reproduce, distribute, modify, or create derivative works of any materials without our prior written consent.

5. Communications and CASL Compliance

14. SMS Consent and CASL Compliance
14.1 Consent to SMS Communications. By entering your mobile number or registering for services that require notifications, you expressly consent to receive SMS text messages from iCANS, Inc., including but not limited to operational alerts, service notifications, support communications, and marketing (if opted in), in accordance with Canada’s Anti-Spam Legislation (CASL).
14.2 Opt-Out Option. You may withdraw your consent to receive SMS messages at any time by replying “STOP” to any message, or by contacting us at support@icans.ai. Upon unsubscribing, you will receive a final confirmation message, after which you will no longer receive further SMS communications.
14.3 Message Costs and Limits. Message and data rates may apply depending on your mobile provider. We are not responsible for charges incurred through your mobile service provider for receiving SMS messages.
14.4 Privacy and Data Usage. We will not share your SMS opt-in or consent status with any third party for unrelated purposes. We may share data with service providers solely for the purpose of delivering text messages. Your opt-in data will never be sold or misused in violation of CASL or our Privacy Policy.

15.3 Opt-Out. You may opt out of receiving SMS messages at any time by replying “STOP” to any message you receive. You may also contact us at support@icans.ai to request removal. After opting out, you may receive one final message confirming your opt-out request has been processed.
15.4 Data Sharing and Privacy. We do not share your SMS opt-in data or consent status with third parties for purposes unrelated to providing our messaging services. We may share your Personal Data, including your SMS consent, with vendors who help us deliver SMS services (e.g., platform providers or telecom carriers). However, all SMS originator data and opt-in status will not be sold or shared beyond what is necessary to deliver the intended message.
